Terms of Service

These Terms are a binding agreement between you and Graffiti Labs US, LLC, doing business as Pickupz (“Pickupz,” “we,” “us,” or “our”), governing your use of the Pickupz apps, website, support services, and hauling marketplace (the “Platform”).

Important marketplace notice. Pickupz operates a technology marketplace. Hauling, loading, transportation, and related services are performed by independent third-party haulers, not by Pickupz. Please read the limitations of liability and dispute sections carefully.

1. Eligibility and acceptance

You must be at least 18 years old, capable of entering a binding contract, and legally permitted to use the Platform in your location. By selecting each acceptance control and continuing, you agree to the version shown. Pickupz records the document version, time, account, app version, and authentication method. The Privacy Policy is an acknowledgement of notice; any consent for sensitive identity processing is requested separately.

2. What Pickupz provides

The Platform lets customers describe hauling needs, receive route-based estimates, request independent haulers, track active trips, communicate, pay, rate, and obtain support. Pickupz may screen haulers, facilitate payment, provide routing, or establish service standards, but does not guarantee that a hauler will be available, accept a request, arrive at a particular time, or complete a service.

Haulers choose whether and when to use the Platform and whether to accept available work, subject to safety, verification, service-area, stacking, and account requirements. The separate Hauler Service Agreement applies to haulers.

3. Accounts and security

You must provide accurate, current information and keep your sign-in credentials, device, phone number, documents, and payment information secure. One person may not impersonate another, create deceptive accounts, share a driver account, or evade suspension. Notify support promptly of suspected unauthorized use.

You authorize Pickupz to send transactional email, SMS, push, Live Activity, and in-app communications necessary for authentication, safety, bookings, arrivals, support, payments, and account administration. Marketing communications, if offered, require a separate choice where required by law.

4. Requests, estimates, and service completion

A customer request is an offer to purchase the described service. A booking is formed when a hauler accepts and the Platform confirms the match. Route times and prices are estimates based on submitted details, route data, selected truck, load size, helpers, weight, landfill rates, traffic, and other factors. Materially inaccurate details, waiting time, additional labour, route changes, weight differences, disposal restrictions, or facility charges may change the final amount where disclosed and permitted.

Customers and haulers must use the in-app status controls honestly. Arrival and completion controls may be limited by distance. A completed status does not waive either party’s right to report a safety issue or dispute through support.

5. Payments, fees, and taxes

Payment processing is provided by Stripe and supported wallet providers. You authorize the payment method for the amount displayed at confirmation and any properly disclosed adjustment. Pickupz may place an authorization, capture payment, issue a partial or full refund, or charge an approved back-charge to resolve a substantiated adjustment or dispute. Haulers are responsible for their own tax registration, reporting, deductions, expenses, licences, insurance, and remittances. Customers are responsible for taxes and charges shown at booking. Unless stated otherwise, prices are in Canadian dollars.

7. Content, ratings, and Platform rights

You retain ownership of content you submit. You grant Pickupz a worldwide, non-exclusive, royalty-free licence to host, reproduce, process, display, and share it as needed to operate, secure, support, and improve the Platform. Do not submit unlawful, infringing, deceptive, private third-party, or harmful content.

Ratings must reflect genuine experiences. Pickupz may remove content or ratings that violate these Terms, compromise safety, manipulate the system, or are unrelated to a completed service. The Pickupz name, software, designs, and branding remain our property or that of our licensors.

8. Suspension, termination, and account deletion

Pickupz may warn, restrict, suspend, deactivate, or terminate access where reasonably necessary for safety, fraud prevention, legal compliance, payment risk, document expiry, repeated service failures, or a material breach. We may act immediately when delay could create risk. Where appropriate, users may contact support to provide context or appeal.

You may stop using Pickupz and request deletion in Account → Legal, privacy & account deletion. Some records may be retained for legal, accounting, safety, fraud, dispute, and enforcement purposes. Active services, unpaid balances, chargebacks, or open disputes may need resolution first.

9. Disclaimers

To the maximum extent permitted by law, the Platform is provided “as is” and “as available.” Pickupz disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and results. Maps, routes, ETAs, background information, identity checks, ratings, and estimates may be incomplete or inaccurate and are not guarantees of identity, safety, legality, quality, or insurance coverage. Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.

10. Limitation of liability and indemnity

To the maximum extent permitted by law, Pickupz and its affiliates, officers, employees, and suppliers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss; loss of profits, data, use, goodwill, or opportunity; or damage arising from an independent hauler’s acts, items being transported, a location, traffic, a landfill, or another user.

Where liability cannot be excluded, Pickupz’s aggregate liability arising from a particular booking will not exceed the greater of the amount paid to Pickupz for that booking or CAD $100. This limit does not apply where prohibited by law or to liability that cannot legally be limited.

You will indemnify Pickupz against third-party claims, damages, and reasonable costs arising from your unlawful conduct, breach, submitted items, location, vehicle, service performance, or infringement, except to the extent caused by Pickupz’s own negligence or wilful misconduct.

11. Support, disputes, and governing law

Raise service or payment concerns promptly through in-app Support & disputes and include the booking details. The parties will first try in good faith to resolve the issue through support. These Terms are governed by the laws of Alberta and the federal laws of Canada applicable there, without regard to conflict rules. Subject to any mandatory consumer forum, the courts located in Calgary, Alberta have exclusive jurisdiction. Nothing prevents either party from seeking urgent injunctive relief or using an applicable small-claims process.

12. Changes and general terms

We may update these Terms for legal, safety, operational, or product reasons. If a change is material, the app will present the new version for acceptance before continued use. Changes do not retroactively alter an already completed booking unless required by law. If a provision is unenforceable, it will be limited to the minimum extent necessary and the rest remains effective. Failure to enforce is not a waiver. You may not assign your account; Pickupz may assign this agreement in a merger, financing, sale, or reorganization.
